End-User License Agreement

1. Acceptance of Terms

This End-User License Agreement (the “Agreement”) governs use of the Groundworks Command internal business operations platform (the “Platform”) provided by Groundworks Command (“Groundworks Command,” “we,” or “us”). By accessing or using the Platform, you (the “User”) agree to be bound by this Agreement. If you do not agree, do not use the Platform.

The Platform is an internal business tool offered to authorized employees, contractors, and agents of Groundworks Command. It is not offered as a public commercial product.

2. License Grant

Subject to the terms of this Agreement, Groundworks Command grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for legitimate Groundworks Command business purposes during the period the User is authorized to do so.

The User is responsible for maintaining the confidentiality of any credentials used to access the Platform and for all activities that occur under those credentials. The User shall notify Groundworks Command immediately of any unauthorized use of an account or any other breach of security.

5. Data Ownership and Use

All customer, business, financial, and operational data created, entered, or imported into the Platform remains the property of Groundworks Command (or of the customer, as applicable). Use of personal information is governed by our Privacy Policy, which is incorporated by reference into this Agreement.

6. Third-Party Integrations

The Platform integrates with third-party services including QuickBooks Online (Intuit, Inc.), ServiceTitan, Stripe, Twilio, and others. Use of those services is subject to each provider’s own terms and policies. Groundworks Command is not responsible for any third-party service’s performance, availability, or content. We connect to QuickBooks Online for accounting synchronization and use of that connection is subject to Intuit’s applicable terms.

7. Intellectual Property

The Platform, including all software, designs, text, graphics, and other content, is owned by Groundworks Command or its licensors and is protected by copyright, trademark, and other intellectual property laws. No rights are granted other than the limited license described in Section 2.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GROUNDWORKS COMMAND DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GROUNDWORKS COMMAND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF GROUNDWORKS COMMAND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

The User shall indemnify and hold harmless Groundworks Command and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of the User’s breach of this Agreement or misuse of the Platform.

11. Termination

Groundworks Command may suspend or terminate the User’s access to the Platform at any time, with or without cause and with or without notice. Upon termination, the User shall immediately cease all use of the Platform. Sections 3, 5 through 10, and 12 through 14 shall survive termination.

12. Governing Law

This Agreement is governed by the laws of the State of Texas, excluding its conflict-of-laws principles. Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Texas.

13. Changes to This Agreement

Groundworks Command may update this Agreement from time to time. Material changes will be reflected by updating the “Last Updated” date at the top of this page. Continued use of the Platform after a change constitutes acceptance of the revised Agreement.
